These Terms of Service (“Terms”) form a binding agreement between you and Adzuki AI (“we”, “us” or “our”) governing your access to and use of the API gateway, dashboard and related services available at https://adzukiai.com (collectively, the “Service”).
By creating an account, adding credits, or sending a request to the Service, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not use the Service. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service.
The Service is a unified API gateway. It provides a single, OpenAI-compatible interface that routes your requests to third-party artificial intelligence models operated by independent model providers.
We are not the developer, publisher or owner of those models, and we do not create their outputs. All model inference is performed by the relevant third-party provider. Your use of a particular model is additionally subject to that provider’s terms of use, and where those terms conflict with these Terms in respect of the model itself, the provider’s terms govern.
We do not guarantee that any specific model will remain available. Model catalogue, context limits, pricing and capabilities may change or be withdrawn at any time, including on short notice, where a provider changes or discontinues access.
You must provide a valid email address and keep your credentials confidential. You are responsible for all activity that occurs under your account and API keys.
API keys are bearer credentials. Anyone holding a key can spend the credits attached to it. You must not embed keys in client-side code, commit them to public repositories, or share them with third parties. If you believe a key has been compromised, revoke it immediately in the dashboard.
We may suspend or terminate an account that we reasonably believe has been compromised, is being used fraudulently, or is being shared in a manner that circumvents rate limits or billing.
One account per person or organisation. Automated creation of multiple accounts to obtain promotional credits or to circumvent limits is prohibited.
You are solely responsible for the inputs you submit and for how you use the outputs. You must comply with all laws applicable to you. You must not use the Service to:
We may investigate suspected violations and may suspend or terminate access, withhold or forfeit unused credits obtained through prohibited use, and report unlawful activity to competent authorities.
To serve your request, the content of that request — including any personal data it contains — is transmitted to, and processed by, the third-party provider operating the model you selected. Some of these providers operate infrastructure located in mainland China and other jurisdictions outside your own.
You are responsible for ensuring that you have a lawful basis for sending that content to the provider in question. Do not submit special-category or regulated data (for example health, biometric, financial account or government identifier data) unless you have independently satisfied the requirements that apply to such a transfer.
Model outputs are probabilistic and may be inaccurate, incomplete, biased or offensive. You must review outputs before relying on them, and must not use the Service as the sole basis for decisions affecting health, safety, legal rights or access to essential services.
See our Privacy Policy for a description of the international transfers involved and the safeguards we apply.
The Service is prepaid. You purchase credits in advance and each request consumes credits according to the price list published on our pricing page for the model used.
Credits are a prepayment for services. They are not a deposit, are not a stored-value instrument, carry no interest, are not redeemable for cash, and are not transferable between accounts except where we agree in writing.
Payment is collected by our Merchant of Record, Creem (“MoR”). When you pay, the legal seller of record is Creem, not Adzuki AI. Creem handles card processing, sales tax and VAT where applicable, invoicing and payment-related disputes. Creem’s own terms apply to the payment transaction, and we never receive or store your full card details.
Prices, credit packages and model rates may change. Changes apply to credits purchased after the change takes effect and never increase the price of credits already in your balance.
You are responsible for any taxes applicable to your purchase that are not collected by the MoR. If a payment is reversed, charged back or refunded, the corresponding credits and any credits already consumed using them become immediately due and payable, and we may set off the amount against your balance.
Refunds are governed by our Refund Policy, which forms part of these Terms.
The Service is provided on a best-effort basis. We do not offer a service level agreement unless a separate written SLA has been agreed with you.
We may interrupt the Service for maintenance, security work, provider changes or capacity reasons. Where an interruption is planned and material, we will give reasonable advance notice through the dashboard or by email.
Third-party model providers may rate-limit, throttle, deprecate or discontinue a model with little or no notice. We are not liable for any such interruption, but where a paid request fails through our error we will restore the corresponding credits.
You retain all rights you hold in the inputs you submit. As between you and us, and subject to the relevant model provider’s terms, you own the outputs generated for you.
You grant us a limited licence to store, transmit and process your inputs and outputs solely to operate the Service, to secure it, and to comply with law.
We own the Service itself, including the gateway software, the dashboard, our trade marks (including “Adzuki AI”) and all related documentation and know-how. No rights are granted to you except as expressly stated in these Terms.
Third-party model names and logos are the trade marks of their respective owners and are used solely to identify the models available through the Service. Their use does not imply any affiliation with, or endorsement by, the owner.
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
We do not warrant that outputs will be accurate, complete, lawful or suitable for your purpose, or that the Service will meet your requirements or be free of defects.
Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited, including statutory consumer guarantees in the jurisdiction where you reside.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, goodwill, data or anticipated savings, even if advised of the possibility of such loss.
Our total aggregate liability arising out of or in connection with these Terms is limited to the greater of (a) the amount you paid us for the Service in the twelve months preceding the event giving rise to the claim, and (b) USD 100.
Nothing in this section limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited.
Where you use the Service as a consumer resident in the EU, UK or another jurisdiction granting non-waivable rights, the limitations above apply only to the extent permitted in that jurisdiction.
You will indemnify and hold harmless Adzuki AI, its officers, employees and agents against any claim, demand, loss, liability or expense (including reasonable legal fees) arising from your inputs, your use of outputs, your breach of these Terms, or your violation of applicable law or of a third-party model provider’s terms.
You may stop using the Service and close your account at any time. Closing an account is handled in the dashboard, or on request to support@adzukiai.com.
We may suspend or terminate your access, with or without notice where there is an urgent security, legal or abuse reason, if you materially breach these Terms, if we are required to do so by law or by a provider, or if your account poses a risk to the Service or to others.
On termination for breach, unused credits obtained in connection with the breach may be forfeited. On termination for convenience, unused credits remain governed by the Refund Policy.
Sections on Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and any other provision that by its nature should survive, will survive termination.
We may update these Terms from time to time. Where a change is material, we will give notice through the dashboard or by email at least 14 days before it takes effect, unless a shorter period is required by law or for security reasons.
The updated Terms will state the date of revision. If you do not agree to a change, you must stop using the Service before the change takes effect; continued use constitutes acceptance.
Changes do not apply retroactively to your rights in credits already purchased, except where they are required by law.
These Terms and any dispute arising out of or in connection with them are governed by the laws of Singapore, without regard to its conflict of laws rules.
The courts of Singapore have exclusive jurisdiction, save that (a) we may bring proceedings to protect our intellectual property or to recover amounts owed in any competent court, and (b) where you are a consumer, you may also bring proceedings in the courts of your country of residence of if mandatory consumer law gives you that right.
Before filing a claim, please contact support@adzukiai.com and allow us 30 days to attempt to resolve the matter informally.
Payment-related disputes, including chargebacks and refund requests, may also be raised with Creem as the merchant of record.
